This programme is designed for those who aspire to develop a career in investment banking, merchant banking, management consultancy and/or those who wish to enrich their understanding of the mechanisms of mergers and acquisition transactions. The programme aims to provide participants with an overview of the various aspects of M&A operations and shall be particularly relevant for professionals who are engaged in corporate development and the corporate finance function within a commercial firm.

Teacher Profile:

(1) Dr. Nichols Pang

Dr. Nichols Pang is the deputy CEO and Executive Director of a financial services group which , among other credentials, holds SFC type 1, 4 and 9 regulated-activity licenses – and a trustee license – issued under HK Law Cap 29. Dr Pang is an investment veteran with decades of experience built upon his services in buy-side, sell-side, and publicly-listed entities. Initially working as an investment analyst in major investment banks, followed by senior management roles in various financial institutions, he currently manages teams of investment professionals covering a wide spectrum of financial services for blue-chip clients. Along with a doctoral graduate in business, Dr Pang is also a member of the Chartered Institute of Arbitrators and an HKMAAL-accredited general mediator and a STEP affiliate. Dr Pang enjoys reading and has written three books on investments to share his vast knowledge with his readers.

(2) Dr. Victor Yeung
Dr. Yeung is a Fellowship Member of the Hong Kong Institute of Certified Public Accountants (HKICPA) and an Associate Member of Chartered Accountants in England and Wales.  He has over 10 years experience in audit and tax advisory with Big Four accountancy firms in London and Hong Kong.  In addition, he has also dealt with businesses across Asia and handled IPO process in the Hong Kong Stock Exchange. He has solid experience with Blue Chip Company handling Strategic Planning & Development as well as M&A deals in Europe and Asia with deals size over HK$ 10 billion. At present he is a senior management of an investment brokerage group and acts as director for various non-profit organizations and a mentor for university students.  He is a committee member of the Financial Service Interest Group in HKICPA and regularly publishes articles on worldwide financial markets in local newspaper.

(3)  Mr. Walter Lau, FCCA
Walter Lau is a finance professional and chartered accountant with over 10 years’ experience in accounting, finance and investment. He worked in Tricor Services Limited and was responsible for wide-ranged financial advisory services, including accounting and treasury management. Moreover, he worked in Philip Group to dealing equities and derivatives and offer professional advice on local equities, derivatives, structural products, funds and wealth management, as well as foreign investment opportunities. As a financial risk professional, he worked in HSBC by reporting and assessing the risks of equity structural derivatives. Apart from his professional working experience, he has delivered finance and investment courses at various tertiary educational institutions over 10 years.
Walter holds a fellowship of the Association of Chartered Certified Accountants (ACCA). He earned an MSc in Finance (Pass with Distinction) from the University of Michigan Dearborn and a BBA (Hons) in Accountancy (minor in Finance) from the City University of Hong Kong.

Module 1 : Business Valuation & Financing

Module 1 : Business Valuation & Financing (Course Content)

This course is designed to provide students with an understanding of the methods of business valuation. Topics include: an overview of the financing process, the pros and cons of using financial ratios and interpretations of financial statements, as well as a review of the shortcoming of capital budgeting tools.

The objectives of this module are to:

  1. provide students with applied knowledge and skills that strengthen their ability to carry out their understanding of how financial analysis and valuation analysis are used in the sector of investment banking, especially in corporate finance and investment management;
  2. help students to develop basic financial models for valuation, which they can later enhance independently; and
  3. build up confidence of students in their use of PowerPoint and Excel spreadsheet, one of the more popular and widely utilized computational tools for valuation, financial analysis, management, and decision-making in many business environments.

On successful completion of this module, students should be able to:

  1. applying finance theories and techniques to assist with common valuation methodsininvestment banking field;
  2. using quantitative skills in financial analysis to solve operational and technical problems of the kind that typically confront valuation exercise; and
  3. constructing simple Excel spreadsheets and PowerPoint Presentation in business valuation process


Module 2: Due Diligence, Tax and Accounting Issues in M&A (Course content)

This course is designed to provide students with an understanding of the accounting and tax aspects of the M&A process. Topics include accounting for M&A with respect to consolidation, assessing value of assets and liabilities of M&A. Other major topics include tax planning and foreign exchange impact on M&A with particular reference to cross-border transactions.

On successful completion of this module, students should be able to:

  1. evaluate and conduct due diligence process in M&A transaction;
  2. critically analyse accounting methods in M&A;
  3. assess value of assets and liabilities of M&A;
  4. critically analyse tax planning and foreign exchange impact in M&A with particular reference to cross-border transaction.

Module 3: Strategic Issues of Merger and Acquisition (Course Content)

This course is designed to provide students with an overview of the various aspects of the merger and acquisition (M&A) process. Topics include M&A strategic, M&A transaction process, deal structuring, post-merger integration, and cross-border M&A.

On successful completion of this module, students should be able to:

  1. identify the motives underlying a takeover/merger deal;
  2. explain the reasons why a company repurchases its own shares;
  3. examine causes and consequences of takeovers;
  4. debate the role of the Corporate Raider;
  5. examine causes and consequences of Management Buyouts;
  6. appreciate issues of Executive Compensation and Corporate Ownership;
  7. understand Corporate Governance.

Students' performance in each course shall be assessed both by continuous course work assignments (30%) and a final project (70%).

In order to pass each course, student is required to meet 70% attendance requirement and achieve 50% or above in the overall assessment. A Statement of Attendance will be granted for candidates who satisfied the first criteria only.

b)   an Associate Degree/ a Higher Diploma or equivalent, and have at least 2 years of relevant working experience.

Admission is on a first-come, first-served basis. Enrolment will be confirmed once you have made the payment. You will receive a payment confirmation after payment has been made processed successfully. You are advised to keep your payment confirmation for future enquiries.

Upon successful admission into the programme, students are required to follow the enrolment procedure:

Late applications /enrolments are subject to program leader’s approval and possible late payment charges.

Course fees can also be paid by crossed cheque or bank draft made payable to "HKU SPACE". Please specify the programme title(s) for application, student's name, and student card number (if applicable). You may either:

  • bring the completed form(s), together with the appropriate course or application fees in the form of a cheque, and any required supporting documents to any of the HKU SPACE enrollment centres.
  • or mail the above documents to any of the HKU SPACE enrollment centres, specifying 'Course Application' on the envelope. HKU SPACE will not be responsible for any loss of payment sent by mail.

2. VISA/MasterCard

Applicants may also pay the course fee by VISA or MasterCard, including "HKU SPACE MasterCard", at any HKU SPACE enrollment centres. Holders of HKU SPACE MasterCard can enjoy a 10-month interest-free installment period for courses with a tuition fee of HK$2,000 to $40,000; however, the course applicant must also be the cardholder himself/herself. For enquiries, please contact our staff at any of the enrollment centres.

Notes

  1. For general and short courses, applicants may be required to pay the course fee in cash or by EPS, Visa or MasterCard if the course is to start shortly.
  2. Fees paid are not refundable except under very exceptional circumstances, subject to the School's discretion.
  3. In addition to the published fees, there may be additional costs associated with individual programmes. Please refer to the relevant course brochures or direct any enquiries of the relevant programme teams for details.
  4. Fees and places on courses cannot be transferred from one applicant to another. Fees quoted in this brochure apply only to the sessions of studies specified within the brochure and may be subject to revisions even after admission onto this programme. Once accepted onto a course, the student may not change to another course without approval from HKU SPACE. A processing fee of $120 will be levied on approved transfers.
  5. Unless a course is over-subscribed or canceled, the following fees are not refundable: application fees, course fees, fees for re-sitting examinations, re-submitting course work, repeating studies and application for exemptions.
  6. The School reserves the right to change the date, time and place of course meeting and to change the course lecturer/ tutor should be this be necessary.
  7. Receipts will be issued for fees paid but HKU SPACE will not be responsible for any loss of receipt sent by mail.
  8. For additional copies of receipts, please send a stamped, self-addressed envelope with a completed form and a crossed cheque for $30 per copy made payable to "HKU SPACE". Such copies will normally only be issued at the end of a course.
